Moreover, we are also well versed in the area of corporate governance, advising newly formed and mature companies across industry sectors, advising management and boards of directors on a broad array of corporate governance and related matters. In addition, we represent our clients in matters related to mergers & acquisitions and cross-border transactions.
Our recent transactional and corporate experience includes:
- Represented a Russian investor regarding the acquisition of a Russian power distribution group with 8 million customers and approx. 15% of the Russian market
- Represented an investment fund in respect to a USD 300 million telecom acquisition in Angola
- Represented a consortium of investors in respect to the potential acquisition of an oil-refinery in the Balkans
- Representing an international real-estate holding with interests in Switzerland, Montenegro, and Greater Middle East
- Advising board of directors and special committees on corporate governance matters, fiduciary duties, and liability issues
- Represented a Russian bank with respect to the repayment of a USD 200 million loan
- Representing an oil trader in respect to African projects
- Advising a Russian company in connection with the acquisition of a Russian servicing company (capital repair of elevators)
- Advising an international investor on acquisition of 75% of shares of a Cyprus holding company with several Russian subsidiaries engaged in provision of document storage services
