Biography

Mikhail is a corporate lawyer with more than 20 years experience of legal consulting focusing on corporate and M&A transactions. Mikhail represented clients from various jurisdictions in domestic and cross-border acquisition, joint venture and other transactions in biotech, retail trading, automotive, electronics and other industry sectors.

Throughout his consulting career, Mikhail worked in the Moscow offices of BAKER & MCKENZIE, ALLEN & OVERY, and DENTONS/SALANS international law firms, from associate to partner positions.

Educational background includes LL.B law degree from the Moscow State University and LL.M. degree from the Northwestern Pritzker School of Law.

He is a native Russian speaker and is fluent in English.

Representative experience

  • Represented foreign and local entities/VC funds with respect to M&A, asset-deal and local joint venture transactions in diverse sectors including biotech, retail trading, automotive, electronics and other;
  • Lead the team of 10+ lawyers in all stages of the project (transaction structuring, LOI, DD, negotiation of the transaction terms, drafting the transaction documents, transaction closing and post-closing issues);
  • Developed the strategy of the Russian market exits considering recent Russian counter-sanctions restrictions and EU/US sanctions regime;
  • Coordinated external legal counsels (GB, Cyprus, etc.) in connection with the respective foreign law issues in cross-border deals.
  • Advised client on the Russian law issues for the IPO project of master franchisee of the global food retail brand, resulting in offering raising approximately $120 million;
  • Assisted Russian entities and local investment funds in their foreign investment projects abroad including EU countries and the US; coordinated external legal counsels in connection with the respective foreign law issues and regulations;
  • Led one of the first automotive assembly greenfield projects in Russia; represented foreign investors in negotiations with the Russian state and regional authorities in relation to the investment agreements (projects included foreign investments up to $200 million);
  • Assisted Russian high-tech entities in their foreign investment projects abroad including European countries and in the US.
